The Asia Retina Congress BY-LAWS

ARTICLE 1 – NAME

The name of this organization shall be “The Asia Retina Congress” to in these Bylaws as the “Congress”

ARTICLE II – PURPOSE

The purpose of this Congress shall be:

  • to contribute to human well-being by promoting the academic development in the field of vitreoretinal diseases and related conditions, (especially those prevalent in Asia)
  • to encourage retinal research by facilitating collaborations and providing the platform for knowledge exchange
  • to establish a democratic and scientific society of vitreo-retinal specialists and facilitate academic activities of young retinal specialists.

ARTICLE III – MEMBERS

Section 3.1. The Members of the Congress shall be of the following classes:

  • Member Societies. The member societies include Taiwan Retina Society (TRS), Japanese Retina and Vitreous Society (JRVS), and the Korean Retina Society (KRS). Vitreoretinal societies of Asia-Pacific countries can be added to the Member Societies when recommended to and approved by the Board of Trustees.
  • Regular Members. The members of representative vitreoretinal society of each country including TRS, JRVS, and KRS shall be the regular members of the congress.
  • Honorary Members. A person who are not a member of Member Societies but had significant contribution to the Congress may become an Honorary Member when recommended to and approved by the Board of Trustees.

ARTICLE IV – Board of Trustees

The Board of Trustees shall manage the major affairs of the Congress and be responsible for setting policy related to the future of the Congress.
The members of the Board of Trustees shall be comprised of members who are designated by each vitreoretinal society of each country. Each society can designate 4 members each year.

ARTICLE V - OFFICERS & COMMITTEES

Section 5.1. Officers and Committees.

The officers of the Congress shall be a Meeting Chairperson, a Secretary-General, a Treasurer and such other officers as the Executive Committee shall appoint.
The committees of the Congress shall be: Executive, Finance and Annual Meeting Program Committee.
The Executive Committee may appoint other committees as necessary. Officers and committee members shall be Active Members of the Congress. The members of the Executive Committee shall be comprised of members who are designated by each society of 3 countries including Meeting Chairperson and Secretary-General. Each retina society can designate up to 3 members each year. The Executive Committee shall have the general management and control of all the affairs of the Congress, and shall exercise all of the powers of the Congress. The Executive Committee may adopt such rules and regulations not inconsistent with these By-Laws as the Committee may from time to time determine are necessary or convenient for the management or operation of the Congress.

Section 5.2. Duties of Officers.

The officers shall hold office for one year or until their successors assume office. The duties and terms of the officers of the Congress shall be as follows:
  • Meeting Chairperson. The retina society of the country which hosts the annual meeting shall designate the Meeting Chairperson. The term is one-year. The Meeting Chairperson shall be responsible for planning and conducting scientific meetings and conferences held under the sponsorship of the Congress.
  • Secretary-General. The Secretary-General shall be designated by the Meeting Chairperson. The term is one-year. The Secretary-General shall have custody of the seal of the Congress and shall keep minutes of all meetings of the Members and of the Executive Committee at which he/she shall be present, shall give notice of meetings of the Members and of the Executive Committee.
  • Treasurer. The Treasurer shall be designated by the Meeting Chairperson. The term is one-year. The Treasurer shall report to the Executive Committee on the financial condition of the Congress
  • The other committees shall be designated by the Meeting Chairperson. The term is one-year

ARTICLE VI – MEETINGS

Section 6.1. Annual Meeting.

The annual meeting of the Congress shall be held each year at a place and date designated by the Board of Trustees. The annual meeting shall be held sequentially in three countries (Korea, Japan, and Taiwan).

Section 6.2. Special Meeting.Section 6.3. Meetings of the Executive Committee.

Regular online or in-person meetings of the Executive Committee shall be held at such time and place as may be fixed from time to time by the Executive Committee. Special meetings of the Executive Committee may be called by the Meeting Chairperson.

ARTICLE VII– AMENDMENTS OF BY-LAWS

These By-Laws may be amended by the by the affirmative vote of a majority of the Board of Trustees of the Congress. Amendments of the By-Laws of the Society may be proposed by the Executive Committee.
